Trustwave Prepares for IPO

Trustwave Holdings Inc., a Chicago-based security compliance solutions provider, has filed for a proposed initial public offering of shares of its common stock. The number of shares to be offered and the price range for the offering have not yet been determined. A registration statement relating to these securities has been filed with the SEC, but has not yet become effective, according to a Trustwave statement. Morgan Stanley, J.P. Morgan and Barclays are acting as joint book-running managers for the offering. William Blair & Company and BMO Capital Markets Corp. are acting as co-managers. Trustwave said its solutions enable organizations of all sizes to efficiently achieve and maintain compliance with regulatory requirements and industry standards.
